1. Overview

These Product Sales Terms & Conditions (“Terms”) govern the purchase of physical products from Ampz LLC (“Ampz,” “we,” “our,” or “us”), including but not limited to:

  • Charging kiosks (8-slot, 20-slot, 40-slot, and other models)
  • Stands, pedestals, and enclosures
  • Power banks and replacement chargers
  • Cables, adapters, accessories
  • Floor decals, signage, branding kits
  • Merchandise (apparel, hats, stickers, uniforms)
  • Promotional materials
  • Replacement parts and components

By purchasing any product from Ampz, you agree to these Terms.

2. Scope of Terms

These Terms apply to all physical product sales, including:

  • Direct purchases
  • Bulk orders
  • Operator partner hardware packages
  • Venue purchases
  • Online and invoice-based purchases

These Terms do not apply to:

  • Charger rentals
  • Digital services
  • Web-based rentals
  • Tap-to-Pay rentals

3. Orders & Payment

3.1 Order Acceptance

Ampz reserves the right to accept or reject any order at our sole discretion.

3.2 Payment Terms

Unless otherwise stated in writing:

  • Payment is due in full at the time of purchase
  • Bulk orders may require a deposit
  • Custom-branded orders require full or partial prepayment
  • Unpaid balances may delay production or shipment

3.3 Taxes

Buyers are responsible for:

  • Sales tax
  • Import duties
  • Customs fees (for international orders)

4. Pricing

All pricing is subject to change without notice. Quotes are valid only for the period stated.

Prices may vary for:

  • Bulk purchases
  • Custom orders
  • Operator partner pricing
  • Venue partner packages

5. Shipping & Delivery

Please also refer to our Shipping, Delivery & Returns Policy.

5.1 Title & Risk of Loss

Title and risk of loss transfer to the buyer when:

  • Products are handed to the shipping carrier, or
  • Products are picked up by the buyer or their agent

Ampz is not responsible for carrier delays, loss, or damage after transfer to the carrier.

5.2 Delivery Estimates

Delivery dates are estimates, not guarantees.

5.3 Freight Shipments

Large kiosks may ship via freight. Buyer must:

  • Inspect shipment upon arrival
  • Note any damage on the freight bill
  • Report damage to Ampz within 7 days

6. Inspection & Acceptance

Buyer must inspect all goods within 7 days of delivery. If issues are not reported within this timeframe, products are considered accepted, and no claims may be made for:

  • Missing parts
  • Cosmetic defects
  • Shipping damage
  • Incorrect items

7. Returns & Refunds

7.1 Eligible Returns

Products may be eligible for return if:

  • Requested within 30 days of delivery
  • Item is unused and in original condition
  • Packaging is intact
  • Item is not custom-branded
  • Buyer received prior authorization from Ampz

7.2 Non-Returnable Items

No returns are allowed for:

  • Used kiosks or chargers
  • Installed stands or decals
  • Custom-branded units
  • Special-order products
  • Merchandise that has been worn or washed
  • Opened cables, chargers, or accessory packs

7.3 Restocking Fee

A restocking fee of 10–25% may apply.

7.4 Return Shipping

Buyers are responsible for return shipping unless:

  • Ampz shipped the wrong item
  • The product arrived defective

8. Warranty

8.1 Limited Warranty

Ampz provides a limited warranty against manufacturing defects. Warranty covers:

  • Internal electronics
  • Structural components
  • Charging module failures
  • Software-related kiosk malfunctions

8.2 Warranty Exclusions

Warranty does not cover:

  • Damage from improper installation
  • Water damage
  • Misuse, neglect, or abuse
  • Vandalism or theft
  • Electrical surge damage
  • Unauthorized repairs or modifications
  • Cosmetic damage after installation
  • Battery degradation (normal wear)

8.3 Warranty Claims

To file a claim, the buyer must:

  • Provide photos/videos
  • Provide serial numbers
  • Describe the issue
  • Allow diagnostic troubleshooting

Ampz may repair, replace, or refund at its sole discretion.

9. Installation Requirements

Buyers are responsible for:

  • Proper installation
  • Compliance with venue rules
  • Providing stable electrical power
  • Ensuring secure mounting
  • Following Ampz setup instructions

Ampz is not liable for:

  • Wall damage
  • Electrical issues
  • Improper placement by the venue
  • Damage caused during installation by third parties

10. Software Use & Restrictions

Kiosks require Ampz software to operate.

Buyers agree NOT to:

  • Modify the software
  • Install unauthorized software
  • Tamper with network connectivity
  • Attempt to access backend systems

Software licenses may be revoked for misuse.

11. How You May Deploy and Transfer Kiosks

11.1 What you may do.

Kiosks you have purchased are yours. You may:

  • Operate them yourself at premises you own, lease or manage.
  • Place them at venues you sign under your own host, placement or amenity arrangement, and keep the commercial terms you negotiate with that venue.
  • Run them across a portfolio of properties, sites or events, whether or not you own them.
  • Recruit and manage your own venue network and place kiosks into it.
  • Sell or transfer a kiosk to another party, provided that party accepts these Terms and the Ampz Platform Terms of Service for that kiosk and the transfer is registered with Ampz under 11.3.

No territory, city, region or country restriction applies to any of the above.

11.2 What you may not do.

You may not:

  • Rebrand the equipment, remove, obscure, alter or replace Ampz trademarks, logos, serial plates or on-screen branding.
  • Hold yourself out as an Ampz reseller, distributor, dealer, franchisee or agent, or use the Ampz name to sell Ampz equipment to others, without a separate written distribution agreement with Ampz. You may of course say truthfully that you operate Ampz kiosks.
  • Transfer a kiosk to a party who has not accepted these Terms, or transfer it in a way that leaves the kiosk running on the Ampz platform under no accepted terms.
  • Place a kiosk at premises already registered to another Ampz operator under 11.4.
  • Represent, guarantee or forecast earnings to a venue, a buyer or a transferee on Ampz's behalf, or present any Ampz projection as an Ampz promise of income.

11.3 Registering a transfer.

Before a kiosk changes hands, tell Ampz in writing who is taking it and where it will run, and have the new party accept these Terms. Ampz will move the kiosk's platform registration and payout details to the new party. Ampz will not unreasonably withhold or delay a transfer that meets 11.1 and 11.2; if Ampz declines, it will say why in writing. Until a transfer is registered, the original buyer remains the party Ampz deals with for that kiosk.

11.4 Venue registration and first-in-time.

A venue is registered to the operator who first records a placement at that address with Ampz. Registration is per address and lasts while a kiosk is in service there. It is not exclusivity over a city, a chain, a brand or a region.

11.5 Software.

Deployment and transfer do not change Section 10: every kiosk runs Ampz software under these Terms wherever it is deployed and whoever holds it.

12. Limitation of Liability

To the fullest extent permitted by law:

  • Ampz is not responsible for lost profits, downtime, or indirect damages
  • Ampz's total liability is limited to the purchase price of the product
  • Ampz does not guarantee revenue or performance metrics

13. Indemnification

Buyer agrees to indemnify and hold Ampz harmless from claims arising from:

  • Improper installation
  • Venue misuse
  • Unauthorized operation
  • Resale without authorization
  • Injuries caused by negligent placement

14. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflicts of law.
